Terms of Service

1. Acceptance of Terms

By accessing or using StoneOS ("the Service"), a product of OLA Group Technology LLC ("we," "our," or "us"), you ("the User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

By connecting your QuickBooks Online account to StoneOS, you specifically agree to the QuickBooks Integration Terms outlined in Section 4.

2. Description of Service

StoneOS is a cloud-based stone fabrication management platform designed for stone fabrication showrooms. The Service includes:

  • Stone catalog management
  • Customer quote and estimate generation
  • Order processing and tracking
  • Integration with QuickBooks Online (optional)
  • Wholesale material ordering
  • Analytics and reporting

3. Account Registration and Security

3.1 Account Creation

  • You must provide accurate and complete information during registration
  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activities that occur under your account
  • You must notify us immediately of any unauthorized access or security breach

3.2 Account Eligibility

  • You must be a legitimate business entity in the stone fabrication industry
  • You must be at least 18 years old
  • You must have legal authority to enter into this agreement on behalf of your business

4. QuickBooks Integration Terms

4.1 Authorization and Consent

By connecting your QuickBooks Online account to StoneOS, you:

  • Authorize StoneOS to access your QuickBooks company data on your behalf
  • Grant us permission to create, read, and update customers and invoices in your QuickBooks account
  • Consent to our storage of OAuth access tokens and refresh tokens securely in our database
  • Acknowledge that we will receive webhook notifications about payment events in your QuickBooks account

4.2 What StoneOS Can Do with Your QuickBooks Account

Once connected, StoneOS will:

Automatic Actions (Without Asking You Each Time):

  • Create new customers in your QuickBooks account when new customers place orders
  • Create invoices in your QuickBooks account when orders are confirmed
  • Update order status in StoneOS when payment is received in QuickBooks
  • Sync customer information between StoneOS and QuickBooks

What StoneOS Will NOT Do:

  • Delete invoices, customers, or other data from your QuickBooks account
  • Modify existing invoices or customers without your explicit action in StoneOS
  • Access your bank account information or initiate payments
  • Share your QuickBooks data with third parties (except as required for platform operation)

4.3 Dual QuickBooks System

StoneOS operates a dual QuickBooks integration:

Your QuickBooks Account (Showroom Tier):

  • You connect YOUR QuickBooks Online account to StoneOS
  • We create customer invoices in YOUR account on your behalf
  • You receive payments from YOUR customers through your QuickBooks account
  • We do NOT have access to your bank accounts or payment methods

Our QuickBooks Account (Admin Tier - Wholesale Billing):

  • WE (OLA Group Technology LLC) maintain our own QuickBooks account
  • We create wholesale invoices in OUR account to bill YOU for stone materials
  • Your showroom information is stored as a customer in our QuickBooks account
  • This is standard supplier-to-customer invoicing practice

4.4 Token Management

  • Access Tokens: Valid for 1 hour, used to access your QuickBooks data
  • Refresh Tokens: Valid for 100 days, used to obtain new access tokens
  • Token Security: All tokens are encrypted and stored securely
  • Token Expiration: You will need to re-authorize after 100 days if no activity occurs

4.5 Disconnecting QuickBooks

You can disconnect QuickBooks at any time by:

  • Clicking "Disconnect QuickBooks" in your StoneOS dashboard settings
  • Revoking access through your QuickBooks account settings

Effect of Disconnection:

  • We will immediately stop accessing your QuickBooks account
  • All stored OAuth tokens will be deleted within 24 hours
  • Automatic invoice creation will stop
  • Previously created invoices will remain in your QuickBooks account
  • You can still use StoneOS without QuickBooks integration

4.6 Data Accuracy and Your Responsibilities

  • You are responsible for reviewing all invoices created in your QuickBooks account
  • You must ensure pricing and customer information in StoneOS is accurate
  • We are not responsible for incorrect invoices due to inaccurate data entry in StoneOS
  • You should maintain regular backups of your QuickBooks data

By using the QuickBooks integration, you agree to comply with Intuit's Terms of Service and QuickBooks Online Service Agreement. Your use of QuickBooks Online is governed by Intuit's terms, available at https://quickbooks.intuit.com/legal/

5. Payments and Billing

5.1 Subscription Fees

  • Subscription fees are billed monthly or annually as per your selected plan
  • All fees are non-refundable unless otherwise stated
  • We reserve the right to modify pricing with 30 days' notice

5.2 Wholesale Material Orders

  • Stone material purchases are invoiced separately from subscription fees
  • Payment terms are net 30 days unless otherwise agreed
  • We may create invoices in our QuickBooks account for wholesale orders

6. Acceptable Use Policy

You agree NOT to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to other users' accounts or data
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Upload viruses, malware, or malicious code
  • Attempt to interfere with or disrupt the Service
  • Use the Service to compete with us or create a competing product
  • Share your account credentials with others

7. Data Ownership and Portability

7.1 Your Data

  • You retain ownership of all customer data, orders, and business information you input into StoneOS
  • You can export your data at any time
  • Upon account termination, you have 30 days to export your data before it is deleted

7.2 Platform Data

  • We own the StoneOS software, platform, and intellectual property
  • We own aggregate anonymized usage statistics

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • The Service is provided "AS IS" without warranties of any kind
  • We are not liable for any indirect, incidental, consequential, or punitive damages
  • Our total liability shall not exceed the amount you paid us in the past 12 months
  • We are not responsible for data loss due to your failure to maintain backups
  • We are not responsible for errors in invoices created in QuickBooks due to incorrect data in StoneOS

9. Termination

9.1 Termination by You

  • You may cancel your account at any time through your dashboard settings
  • No refunds for partial months
  • You have 30 days to export your data after cancellation

9.2 Termination by Us

We may suspend or terminate your account if:

  • You violate these Terms
  • Your account is inactive for 12+ months
  • Payment is overdue by 60+ days
  • We are required by law to do so

We will provide 30 days' notice when possible.

10. Changes to Terms

  • We may update these Terms from time to time
  • Changes will be effective upon posting to this page
  • Material changes will be communicated via email
  • Continued use of the Service after changes constitutes acceptance
